Scope and Acceptance

These Terms of Use govern your access to and use of the Spix website, hosted dashboard, developer tools, APIs, phone and messaging infrastructure, and any related software, features, or services we make available under the Spix brand.

By accessing or using Spix, you agree to these Terms. If you are using Spix on behalf of an organization, you represent that you have authority to bind that organization, and references to "you" include both you and that organization.

If you have a separate written agreement with Spix that covers particular services, that agreement controls to the extent it conflicts with these Terms.

Eligibility and Accounts

You may use Spix only if you are legally able to enter into a binding agreement and are not prohibited from using the services under applicable law.

You are responsible for maintaining the confidentiality of your login credentials, API keys, webhook secrets, and any other account access method tied to your workspace.

  • You are responsible for all actions taken through your account, including actions taken by employees, contractors, automation scripts, and AI agents you authorize.
  • You must provide accurate registration, billing, and contact information and keep it current.
  • You must promptly notify us if you believe your account, keys, or communications workflows have been compromised.

Permitted Use

You may use Spix only for lawful business or operational purposes consistent with these Terms, our Acceptable Use Policy, our Communications Compliance Policy, and any product-specific documentation we publish.

Spix is infrastructure, not a permission slip. Your use of the platform must remain within the legal, regulatory, carrier, and contractual limits that apply to your organization, your recipients, and your use case.

  • Do not use Spix for fraud, harassment, spam, phishing, deception, surveillance, or unlawful collection activity.
  • Do not use Spix for emergency dispatch, life-critical workflows, or other high-risk use where delay, failure, hallucination, or misdelivery could cause death, bodily injury, or material legal harm unless we have expressly approved that use in writing.
  • Do not use false identity information, spoofed caller ID, or misleading sender details.

Your Communications Responsibilities

You are solely responsible for the communications you initiate or automate through Spix, including call scripts, prompts, contact lists, recipient targeting, routing rules, and any AI-generated content sent or spoken through the services.

You must obtain and maintain all permissions, disclosures, and consent records required before placing calls, sending texts, sending emails, recording calls, transcribing calls, or using AI agents to interact with people on your behalf.

  • Maintain reliable records showing how and when each recipient gave consent, where consent is required.
  • Honor opt-outs, do-not-call requests, unsubscribe requests, and recording objections promptly and consistently.
  • Ensure your use complies with laws and rules that apply to your use case, including TCPA, CAN-SPAM, state privacy laws, state call-recording laws, carrier requirements, and similar laws outside the United States where applicable.
  • Review your prompts, playbooks, and agent behavior before live use and monitor them on an ongoing basis.

Fees, Billing, and Taxes

Certain Spix features require a paid plan, paid credits, or separate usage-based charges. You agree to pay all fees, charges, and taxes associated with your use of the services.

Unless a separate written agreement says otherwise, fees are billed in the amounts and at the times shown in the product, on your invoice, or in the applicable order flow.

  • Usage fees may vary based on channel, volume, destination, carrier handling, or third-party costs.
  • Fees are non-refundable except where required by law.
  • We may suspend or limit access for unpaid balances, charge failures, fraud risk, or abuse risk.

Third-Party Dependencies

Spix depends on third-party infrastructure such as telecom carriers, email providers, cloud vendors, payment processors, and analytics or model providers. Those third parties may impose additional limits, filtering, delivery rules, downtime, or eligibility requirements.

We do not guarantee uninterrupted availability, message delivery, call completion, transcription accuracy, carrier acceptance, email inbox placement, or compatibility with every downstream provider or region.

Customer Data, Content, and Feedback

You retain your rights in the data, prompts, files, contacts, recordings, messages, transcripts, and other content you submit to Spix or process through the services.

You grant Spix the rights necessary to host, process, transmit, store, index, and display that content solely to operate, secure, support, and improve the services and to comply with legal obligations.

You represent that you have the necessary rights and permissions to provide any content or contact data you upload to Spix.

  • You are responsible for the legality, accuracy, and provenance of your content and contact data.
  • If you send us feedback, suggestions, or product ideas, we may use them without restriction or compensation to you.

Suspension and Termination

We may suspend, throttle, restrict, or terminate access to Spix at any time if we reasonably believe your use creates security risk, legal risk, carrier risk, abuse risk, nonpayment risk, or reputational risk for Spix or others.

We may also suspend features, numbers, inboxes, campaigns, or workflows to comply with law, carrier direction, court order, regulator inquiry, third-party vendor requirements, or suspected violations of these Terms or our policies.

No Legal Advice; Disclaimers

Spix provides software and communications infrastructure. We do not provide legal advice, compliance advice, tax advice, or other professional advice, and nothing on the site or in the product should be treated as a substitute for advice from your own counsel or advisors.

To the fullest extent permitted by law, Spix is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

  • We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
  • We do not warrant that the services will be uninterrupted, error-free, secure, or suitable for your specific legal or operational requirements.

Limitation of Liability

To the fullest extent permitted by law, Spix and its affiliates, personnel, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunities arising out of or related to your use of the services.

To the fullest extent permitted by law, the aggregate liability of Spix for all claims arising out of or related to the services will not exceed the amounts you paid to Spix for the services giving rise to the claim during the 12 months before the event that gave rise to the claim.

Indemnification

You will defend, indemnify, and hold harmless Spix and its affiliates, officers, employees, contractors, and service providers from and against any third-party claims, liabilities, damages, judgments, fines, penalties, costs, and expenses arising out of or related to your content, your contact data, your communications, your use of the services, or your violation of these Terms or applicable law.

Changes and Contact

We may update these Terms from time to time. If we make a material change, we may post a notice on the site or update the effective date on this page. Your continued use of Spix after revised Terms take effect means you accept the revised Terms.
